End User License Agreement

Sailtab is licensed, not sold. The license is bound to a single device, non-transferable, non-exclusive, and perpetual. The license is bound to the device by its unique identifier (device UUID); transferring it to a different device requires prior written permission.

If the device must be replaced (loss, hardware failure, warranty replacement), the Licensee opens a support request at admin@fraktalstudios.com. Once we verify that the original device is retired from service, the license is reissued on the replacement device.

The license grants only the right to use the software on the licensed device. Copyright, trademark, and other intellectual property rights remain with Fraktal Denizcilik.

First activation requires a one-time internet connection. During activation the Sailtab software contacts our servers, validates the supplied license key, binds it to the device UUID through an HMAC integrity check, and stores the bound state locally on the device.

After successful activation, the device may operate fully offline indefinitely. **There is no time-based offline deactivation. There is no license token expiry. There is no grace period. There is no requirement to re-verify the license against our servers.** As long as the device-UUID binding and HMAC integrity remain intact, the license stays valid.

This rule is intentional and central to Sailtab's design: a sailing instrument must work at sea, where internet connectivity is unreliable or absent. We will not introduce time-based deactivation in current or future versions.

Sailtab software updates are delivered over-the-air (OTA) when the device has internet connectivity. Updates may include new features, performance improvements, security patches, and bug fixes.

By default the software downloads and installs updates automatically when network availability permits. The Licensee may opt out of automatic updates from the in-app settings panel; manual update remains available in that case.

We make no commitment to a specific release cadence. If a legacy device's hardware can no longer run a current software version safely, OTA support for that device may be discontinued; the device continues to operate on the last supported version under these same license terms.

Hardware (display, communicator, cables, mounting accessories) is covered by a one-year manufacturer warranty from the date of delivery, against defects in materials and workmanship under normal use. The warranty does not cover damage from accident, misuse, modification, immersion beyond the device's IP rating, lightning strike, or use outside the operating temperature range.

The Sailtab software is provided "as is", without warranty of any kind, express or implied. Fraktal Denizcilik makes reasonable efforts to maintain the software, fix material defects, and answer support requests, but does not guarantee fitness for any specific purpose, including but not limited to navigation, race tactics, or weather routing.

A Sailtab Display is a navigation aid, not a primary navigation system. Safe navigation remains the responsibility of the mariner at all times, with redundant means appropriate to the voyage and the conditions.

To the maximum extent permitted by applicable law, Fraktal Denizcilik shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or related to the use or inability to use Sailtab.

In no event shall the total cumulative liability of Fraktal Denizcilik exceed the amount the customer paid for the Sailtab hardware bundle on which the licensed software was originally activated.

These limitations apply whether the basis of the claim is contract, tort (including negligence), strict liability, or any other legal theory, and even if Fraktal Denizcilik has been advised of the possibility of such damages.

The license is tied to the device, not to a user account. There is no recurring subscription, no per-month fee, and no automatic renewal. The license remains active for the operational life of the device, subject to these terms.

If the Licensee transfers the device to a third party, the license transfers with it; the new owner inherits both the rights and obligations under this agreement. Notifying admin@fraktalstudios.com helps us update the device record so that warranty claims can be addressed correctly.

If the Licensee breaches material terms of this agreement (notably: attempting to bypass the device-UUID binding, redistributing the software, or reverse-engineering it for unauthorized use), Fraktal Denizcilik may revoke the license. Revocation does not entitle the Licensee to a refund.

This agreement is governed by and construed in accordance with the laws of the Republic of Türkiye. Any dispute arising out of or in connection with this agreement is subject to the exclusive jurisdiction of the courts and enforcement offices of Istanbul, Türkiye.

The parties shall first attempt to resolve any dispute through good-faith negotiation. If a dispute is not resolved within sixty (60) days of written notice, either party may pursue remedies before the competent court.

Nothing in this clause excludes or limits any consumer right that cannot be excluded under mandatory Turkish or applicable EU consumer protection law.
